AES Clean Energy (AES) is an industry leader in the transition to clean energy, working to improve lives by delivering greener and smarter energy solutions that the world needs. AES is seeking a junior attorney with experience in financing transactions or project development documentation for renewable energy projects. This position will play an important role within the Project Counsel team, focusing on key project documents for renewable energy projects, including EPC contracts, late stage permitting and late-stage development in preparation for fulfilling the conditions to fund construction debt and tax equity. The successful candidate will have the ability to clearly communicate, work as part of a team with project finance counterparts and project teams, identify and mitigate risks and manage outside counsel.

Principal Duties and Responsibilities:

  • Coordinating with a team of experienced in-house development, project, and finance attorneys to manage legal aspects of late-stage project developmentof complex projects/portfolios.

  • Working with cross functional legal and project teams to respond to a diverse spectrum of late-stage project issues covering topics such as construction, interconnection, permitting, real estate, late-stage procurement. finance, tax and commercial/PPA.

  • Implementing structures for co-located project portfolios, including shared facilities arrangements, multi-phase interconnection agreements, multi-phase construction, etc.

  • EPC Agreement negotiating and drafting.

  • O&M Agreement, Construction Management Agreement and Administrative Service Agreementnegotiating and drafting.

  • Providing daily legal support and direction to project managers, permittingcompliance team, construction managers, engineers and other project staff.

  • Synchronizing legal and business terms across various project agreements in a coordinated, thoughtful way in preparation for project diligence by lenders and investors.

  • Supporting project legal diligenceduringfinancing transactions.

  • Effectively and efficiently managing outside counsel.

Desired Experience and Skills:

  • 2-5 years of renewable energy project construction experience or renewable energy finance experience, preferably at a major law firm or sophisticated in-house legal group.

  • Strong transactional experience, with a focus on or desire to learn project development and project-related documentation.

  • Excellent communication skills, both oral and written.

  • Ability to work effectivelyas anindividual and as part of a team.

  • Ability to adapt to a variety of dutiesand work in a fast-paced environment.

  • Smart, decisive, organized, methodical, biased toward action.

Education:

  • Bachelor's Degree or equivalent experience.

  • J.D. from an accredited law school

FLSA Status: Exempt

Physical Demands/Working Conditions: This job operates in a professional office environment. This role routinely uses standard office equipment.

Compensation: Commensurate with experience; competitive.
